By using Vendamart Marketplace, you agree to these terms. Please read carefully. Vendamart operates as a technology platform connecting buyers and sellers — we are not a party to transactions between users.

1. About Vendamart

Vendamart Marketplace (CAC Registration No. BN-9488107) is a Nigerian e-commerce platform operated as a sole proprietorship under the Companies and Allied Matters Act 2020. Our platform connects independent buyers and sellers across Nigeria.

2. Platform Role & Limitation of Liability

Vendamart is a technology intermediary, not a buyer or seller. We provide the platform, escrow service, and verification tools. We are not responsible for:

  • The quality, safety, legality or availability of products listed by sellers
  • The accuracy of product descriptions or images provided by sellers
  • The ability of sellers to complete transactions
  • Disputes arising from transactions between buyers and sellers
  • Any loss or damage arising from use of the platform beyond the transaction value held in escrow
3. Escrow Service

Vendamart holds buyer payments in escrow until delivery is confirmed. Our escrow service is designed to protect both buyers and sellers. However:

  • Escrow funds are held temporarily and released upon buyer confirmation of delivery
  • Vendamart reserves the right to refund buyers in cases of confirmed fraud or non-delivery
  • Escrow does not cover disputes about product quality beyond material non-delivery
  • Maximum liability of Vendamart in any dispute is limited to the transaction value held in escrow
4. Seller Obligations

By registering as a seller on Vendamart, you agree to:

  • Provide accurate product descriptions, images and pricing
  • Fulfil orders promptly upon payment confirmation
  • Not engage in fraudulent activity, misrepresentation or scams
  • Not attempt to circumvent Vendamart's escrow system by soliciting direct payment
  • Accept sole liability for any claims arising from your products or services
  • Indemnify Vendamart against any claims, losses or damages arising from your actions on the platform
5. Buyer Obligations
  • Provide accurate delivery information
  • Confirm delivery honestly — false confirmation to release escrow is fraud
  • Contact Vendamart support before raising chargebacks with your bank
  • Not abuse the dispute resolution process
6. Prohibited Items & Activities

The following are strictly prohibited on Vendamart:

  • Counterfeit, stolen or illegal goods
  • Weapons, drugs or controlled substances
  • Adult content or services
  • Money laundering or financial fraud
  • Impersonation of other sellers or businesses
  • Circumventing platform fees or escrow
7. Platform Fees

Vendamart charges a 5% platform fee on each completed transaction. This fee is deducted from the seller's payout before release from escrow. Fees are non-refundable once a transaction is completed.

8. Dispute Resolution

In the event of a dispute between buyer and seller, both parties must first attempt resolution through Vendamart's in-app messaging system. Vendamart may intervene at its discretion to mediate disputes. Vendamart's decision in disputes involving escrow funds is final.

For unresolved disputes, parties may seek resolution through the Lagos State Multi-Door Courthouse or relevant Nigerian courts. Both parties agree that Nigerian law governs all transactions on the platform.

9. Account Suspension & Termination

Vendamart reserves the right to suspend or permanently ban any user account that violates these terms, engages in fraudulent activity, or poses a risk to other users. Suspended sellers forfeit any pending earnings held in escrow pending investigation.

10. Indemnification

You agree to indemnify, defend and hold harmless Vendamart Marketplace, its owners, employees and agents from and against any claims, liabilities, damages, losses and expenses arising from your use of the platform, your violation of these Terms, or your violation of any rights of another party.

11. Limitation of Liability

To the maximum extent permitted by Nigerian law, Vendamart's total liability to any user for any claim arising from use of the platform shall not exceed the value of the transaction in dispute. Vendamart is not liable for indirect, incidental, special or consequential damages of any kind.

12. Changes to Terms

Vendamart reserves the right to modify these terms at any time. Continued use of the platform after changes constitutes acceptance of the new terms. Users will be notified of material changes via email.
